FINRA’s decision was made in connection with its investigation of allegations regarding Cohen’s sale of securities through one of his prior outside business activities, and his failure to produce investigation-related information. Cohen violated FINRA Rule 8210 and Rule 2010.

Jeffrey Cohen: Permanent Bar by FINRA and 9 Customer Complaints

On June 5th, 2023, Jeffrey Max Cohen entered into a regulatory agreement known as a Letter of Acceptance, Waiver, and Consent with FINRA’s Department of Enforcement, which permanently barred the broker from conducting securities business at any FINRA-regulated brokerage firm. 

According to the AWC, the matter originated from “allegations regarding the sale of securities through one of Cohen’s prior outside business activities in an arbitration matter disclosed on Cohen’s Uniform Application for Securities Industry Registration or Transfer (Form U4).” 

FINRA’s Form U4 contains information regarding an individual’s background, employment history, disciplinary history, and regulatory disclosures. FINRA was investigating Cohen’s involvement in the sale of the securities noted by a customer in an arbitration case. By declining to produce information or documents requested by FINRA pursuant to FINRA Rule 8210, Cohen violated FINRA rules and consented to sanctions of a permanent bar 

Additionally, according to FINRA BrokerCheck, Jeffrey Max Cohen has nine customer complaints disclosed. All nine complaints against Cohen have been settled in favor of the investors for $2.6 million in collective damages. Many of Cohen’s customer complaints alleged illiquid alternative investments were misrepresented and unsuitable.

FINRA’s Provision of Information and Testimony (Rule 8210) 

Under FINRA Rule 8210, all brokerage firms and registered financial professionals are required to provide information, documents, and testimony upon regulators’ requests. 

A violation of FINRA Rule 8210 is also a violation of FINRA Rule 2010, which requires brokerage firms and their registered representatives to “observe high standards of commercial honor and just and equitable principles of trade.”
