The Securities and Exchange Commission has reached a settlement with Hamlin Capital Advisors and Michael Braun regarding municipal bond offerings to charter school clients. The SEC release states that between 2017 and 2022, Hamlin and Braun advised charter school clients on municipal bond offerings exceeding $500 million while the firm purchased all or a substantial portion of the bonds and acted as compensated bondholder representative. The SEC determined that Braun and the firm disclosed material conflicts of interest only after beginning to advise schools on the offerings. The firm’s disclosures mentioned potential fee receipts but omitted details about financial incentives that conflicted with clients’ interests, the nature of these conflicts, and mitigation measures.
