SEC Charges Surage Roshan Perera & Janues Capital with Fraud

On March 27th, 2023, the Securities and Exchange Commission (“SEC”) filed fraud charges against Surage Kamal Roshan Perera and his firm Janues Capital Inc., in connection with findings that from February 2022 to March 2023, Perera defrauded at least one investor out of approximately $4.3 million.

According to the SEC, Perera and Janues Capital misappropriated at least $3.5 million of the customer’s funds to engage in highly speculative and leveraged trading. The customer believed Perera was instead investing her funds in low-risk publicly traded stocks on the NYSE and NASDAQ exchanges. It is alleged that Perera engaged in a total of over $2.5 billion in securities transactions, with nearly $3 million in trading losses.

Perera and Janues Capital allegedly falsely told customers that the firm had access to “specific restricted securities at discounted prices” through connections with large institutional investors. Perera allegedly engaged in a trading strategy which he referred to as “Options Straddles,” that he purported would “prevent any trading losses but also guarantee returns on some of the investments of up to 9 percent with the potential for returns of 50 percent.”

According to the SEC’s complaint, Perera and his firm carried out a Ponzi-like scheme by attempting to hide investment losses from customers and making Ponzi-like payments using funds from other sources. Perera further concealed his misappropriation of customers’ funds by providing falsified trade confirmations and account statements.

The SEC’s complaint alleges that Perera and Janues violated the antifraud provisions of federal securities laws. Perera was also charged with aiding and abetting the alleged violations of his firm, Janues Capital. The SEC obtained an asset freeze to prevent any further harm to investors and is seeking permanent injunctions and disgorgement of ill-gotten gains plus interest and penalties. Perera was arraigned before the U.S. Magistrate Judge Steven L. Tiscione and faces a maximum sentence of 20 years in prison if convicted.
