Former LPL Financial Broker David Taddeo Suspended by FINRA

David John Taddeo, a former registered broker for LPL Financial LLC based in La Mesa, CA, has been suspended by the Financial Industry Regulatory Authority (“FINRA”). FINRA found that Taddeo participated in private securities transactions with three customers who invested a
total of $255,000, without providing prior written notice to his firm. As a result, Taddeo
violated FINRA Rules 3280 and 2010.

Taddeo allegedly personally repaid the two customers the amount of their original investment in the promissory notes. Taddeo falsely attested on annual compliance questionnaires for 2021, 2022, and 2023 that he had not settled customer complaints away from the firm. Taddeo’s firm learned of the customer complaints and Taddeo’s settlements when the third customer to whom Taddeo sold the promissory note complained in writing.

LPL Financial LLC, the firm at which he was previously registered, terminated his employment. The firm alleged that Taddeo had directed customers to participate in private securities transactions in which he was also involved. The allegations against Taddeo highlight the importance of brokers adhering to the rules and regulations set out by their firms and regulatory bodies. When brokers fail to follow these guidelines, they risk breaching their fiduciary duty to their clients. This fiduciary duty requires brokers to act in the best interest of their clients and to disclose any potential conflicts of interest.

In this case, Taddeo’s alleged participation in the private securities transaction alongside his clients raises questions about potential conflicts of interest. Furthermore, the transaction was allegedly conducted without the approval of LPL Financial LLC, which adds to the severity of the allegations.
